Terms of Service
MusicStaff is a marketplace, not a booking agency and not an employer. Organizers and musicians contract directly with each other; MusicStaff provides the platform, holds the payment, and releases it on the schedule set out below.
1. Acceptance of these Terms
These Terms of Service (the "Terms") are a binding agreement between you and Jump The Line Partners LLC ("MusicStaff", "we", "us"), the operator of the MusicStaff mobile applications, the musicstaff.app website and all related services (together, the "Platform").
By creating an account, joining the early-access list, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Platform. If you are accepting on behalf of a church, venue, company or other organization, you represent that you are authorised to bind that organization, and "you" includes that organization.
2. What MusicStaff is — and is not
MusicStaff is a two-sided marketplace that helps organizers (churches, venues, event planners and similar) find and book professional musicians for live services and engagements, and helps musicians find paid work.
MusicStaff is not a party to any booking.
Every booking is a direct agreement between the organizer and the musician. MusicStaff is not a talent agency, employer, joint employer, staffing agency, promoter or contractor. We do not supervise, direct or control the performance of any engagement, and we do not guarantee that any opportunity will be filled, that any musician will appear, or that any performance will meet expectations.
Musicians using the Platform are independent contractors of the organizer who books them. Nothing in these Terms creates an employment, agency, partnership or joint-venture relationship between MusicStaff and any user.
3. Eligibility and your account
- You must be at least 18 years old and legally able to enter into contracts.
- You must provide accurate account information and keep it current.
- You are responsible for everything that happens under your account, including activity by co-admins you add to an organization account.
- You may not create an account on behalf of someone else, sell or transfer your account, or maintain more than one account without our consent.
- You must notify us promptly at support@musicstaff.app if you believe your account has been compromised.
Organization accounts may add co-admins. The organization remains responsible for every booking, payment and communication made by its co-admins.
4. Obligations of organizers and musicians
If you post opportunities (organizers)
- Describe the engagement accurately — date, call time, duration, location, setting, rate and whether rehearsal is included.
- Have the authority to book the venue and the budget to pay the rate you post.
- Provide a safe working environment and the access, load-in and entry information the musician needs to perform.
- Do not use the Platform to solicit unpaid work, auditions dressed as engagements, or work outside the scope you posted.
If you accept engagements (musicians)
- Only apply to engagements you are qualified for, available for and intend to perform.
- Arrive by the stated call time, with the equipment and preparation the posting requires.
- Complete check-in through the Platform at the venue, and complete the engagement as agreed.
- Do not send a substitute performer without the organizer's agreement recorded in the Platform.
Both sides agree to keep booking-related communication on the Platform where practical, and not to circumvent the Platform in order to avoid fees for an engagement that originated here.
5. Bookings and the service agreement
An opportunity posted by an organizer is an invitation to apply, not an offer. A binding engagement is formed only when the organizer confirms a specific musician for a specific engagement in the Platform and the payment hold described in Section 7 is successfully placed.
At confirmation, both parties may be asked to electronically sign a service agreement containing the engagement details. You consent to transact electronically and agree that your electronic signature has the same effect as a handwritten one. The service agreement, together with the posted engagement details, governs the engagement between the two parties; these Terms govern your use of the Platform.
Recurring bookings and group or ensemble bookings create a separate engagement for each date and each performer, each with its own payment hold.
6. Fees and payments
- Free to join and to post. Creating an account, building a profile, posting an opportunity, reviewing applicants and messaging are free.
- Service fee. When an organizer confirms a booking, MusicStaff charges a service fee of 10% of the musician's rate. The fee is charged to the organizer, in addition to the musician's rate.
- Musician payout. The musician is paid the full agreed rate. MusicStaff does not deduct a commission from the musician's payout.
- Card processing. Standard card processing costs are included in the service fee. Currency conversion, chargeback and bank fees imposed by a payment provider or your bank are not.
Example: for a $320.00 rate, the organizer is charged $352.00 and the musician receives $320.00. All amounts are in United States dollars unless stated otherwise. The exact fee and total are shown before you confirm a booking, and that displayed amount governs.
We may change our fees prospectively. Changes never apply to bookings already confirmed.
7. Payment holds, release and payouts
Confirming a booking charges the organizer's payment method and MusicStaff holds the funds in connection with that engagement. The Platform describes this as a hold or a pending payment.
A hold is not an escrow account and is not a deposit account.
Held funds are not held in trust for you, do not earn interest for you, and are not insured for your benefit. They are processed and settled by our payment provider under the release rules in these Terms.
Release
- The hold is released to the musician automatically 24 hours after the scheduled end of the engagement.
- The organizer may release it earlier at any time after the engagement is complete.
- A dispute opened before auto-release pauses the release until the dispute is resolved under Section 9.
- Check-in through the Platform, including location validation at the venue, is used to evidence attendance and to anchor the release timeline.
Payouts
Payouts are made to the musician's own connected account with our payment provider. Before a first payout, a musician must complete identity verification and provide the tax information described in Section 12. Settlement timing is controlled by the payment provider and the receiving bank; MusicStaff does not guarantee a settlement date.
8. Cancellations, changes and no-shows
Cancellation windows and the amount refunded or retained in each window are displayed in the Platform before a booking is confirmed, and those displayed rules apply to that booking. In general:
- Organizer cancels well in advance — the hold is released back to the organizer, less any non-refundable service fee identified at confirmation.
- Organizer cancels close to the date — a portion of the rate may be released to the musician as a late-cancellation fee, as shown at confirmation.
- Musician cancels — the hold is returned in full to the organizer. Repeated late cancellations may result in suspension.
- Musician does not appear — the organizer may report the no-show before auto-release; the hold is paused and, where the no-show is established, returned to the organizer.
- Material change to the engagement — if the date, time, location or scope changes materially, either party may cancel without penalty before the new terms are accepted in the Platform.
Events outside either party's reasonable control — severe weather, venue closure, emergency, public-safety order — are handled case by case, and MusicStaff may return a hold in full at its discretion.
9. Disputes between users, and refunds
Disputes about an engagement are between the organizer and the musician. Where a dispute is reported through the Platform before the hold releases, MusicStaff will pause the release and may, at its sole discretion and acting as a neutral administrator of the hold, decide how the held funds are distributed based on the booking record, check-in data, messages and information both parties provide.
You agree that our determination about the distribution of held funds is final as to those funds, and does not limit either party's right to pursue the other separately. MusicStaff is not an arbitrator of the underlying contract and has no obligation to compensate any user out of its own funds.
Initiating a chargeback instead of using the dispute process may result in suspension of your account while the chargeback is resolved.
10. Acceptable conduct and your content
You agree not to:
- Post false, misleading or fraudulent listings, profiles, credentials or reviews.
- Harass, threaten, discriminate against or abuse another user.
- Use the Platform for anything unlawful, or for engagements that are unlawful.
- Scrape, reverse-engineer, overload or attempt to gain unauthorised access to the Platform.
- Circumvent the Platform's payment flow for an engagement that originated here.
- Upload content you do not have the rights to, or that infringes anyone's rights.
You keep ownership of the content you submit — profile text, photos, audio and video links, messages and reviews. You grant MusicStaff a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt and display that content for the purpose of operating, improving and promoting the Platform. You can remove your content at any time; copies may persist in backups and in records we must retain.
Reviews must reflect a genuine engagement. We may remove content that violates these Terms, and may act on copyright complaints sent to legal@musicstaff.app.
11. Verification, badges and background
MusicStaff may require identity verification before a first payout and may display verification badges, ratings, match scores and play history on profiles. These signals are provided as-is.
Verification is not an endorsement.
A verification badge means a check was completed at a point in time. It is not a warranty of skill, character, reliability, licensing, insurance or fitness for any engagement. Unless expressly stated in the Platform, MusicStaff does not conduct criminal background checks. You remain responsible for your own diligence, including any screening your organization requires for people working with minors or vulnerable people.
12. Taxes
You are responsible for determining and paying your own taxes. Musicians are independent contractors and no taxes are withheld from their payouts. MusicStaff and its payment provider may collect tax information (such as an IRS Form W-9) and may issue information returns, such as a Form 1099, where required by law. Providing accurate and current tax information is a condition of receiving payouts.
13. Intellectual property
The Platform, including its software, design, tokens, text, graphics and the MusicStaff name and logo, is owned by Jump The Line Partners LLC and protected by intellectual-property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, sell or create derivative works from it, or use our brand without written permission.
14. Third-party services
The Platform relies on third parties, including Stripe for payment processing, payouts and identity verification, and cloud infrastructure providers for hosting and messaging. Your use of those services is also governed by their terms. We are not responsible for third-party services, and their outages or decisions may affect the Platform.
15. Suspension and termination
You may close your account at any time. We may suspend or terminate an account, remove content, or refuse service — with notice where practical, and immediately where necessary — if we reasonably believe you have breached these Terms, created risk or legal exposure, or engaged in fraud or abuse.
Termination does not affect bookings already confirmed: existing holds are released, returned or resolved under Sections 7 to 9. Sections 9 through 20 survive termination.
16. Disclaimers
The platform is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that the Platform will be uninterrupted, secure or error-free, that any opportunity will be filled, that any musician or organizer is suitable or trustworthy, or that any engagement will take place or be performed to your satisfaction. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
17. Limitation of liability
To the fullest extent permitted by law, MusicStaff will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill.
Our total liability arising out of or relating to the Platform will not exceed the greater of (a) the total service fees you paid to MusicStaff in the six months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).
These limits apply to every theory of liability and survive even if a limited remedy fails of its essential purpose. Some jurisdictions do not allow these limits, so they may not fully apply to you.
18. Indemnification
You agree to indemnify and hold harmless Jump The Line Partners LLC and its officers, directors, employees and agents from any claim, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of your use of the Platform, your content, any engagement you post or perform, your breach of these Terms, or your violation of any law or third-party right.
19. Arbitration and class-action waiver
We would rather resolve a problem than litigate it. Before starting a formal proceeding, you agree to contact legal@musicstaff.app and give us 30 days to resolve the dispute informally.
Any dispute that is not resolved informally will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in Travis County, Texas, rather than in court.
You and MusicStaff each waive the right to a jury trial and the right to participate in a class, collective or representative action.
Either party may bring an individual claim in small-claims court instead. You may reject this arbitration agreement by emailing legal@musicstaff.app with the subject line "Arbitration opt-out" within 30 days of first accepting these Terms; opting out does not affect any other part of these Terms.
20. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Where a claim is not subject to arbitration, you and MusicStaff consent to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.
If any provision is found unenforceable, it will be limited or severed and the rest of these Terms will remain in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and any service agreement you sign, are the entire agreement between you and MusicStaff about the Platform.
21. Changes to these Terms
We may update these Terms. When we make a material change, we will update the effective date above and give notice in the Platform or by email before the change takes effect. Continuing to use the Platform after that date means you accept the updated Terms. Changes never apply retroactively to bookings already confirmed.
